These Terms and Conditions (“Terms”) govern your access to and use of the Omniroo service (the “Service”) operated by Hey Data Pty Ltd (“Omniroo”, “we”, “us”, or “our”). By creating an account, subscribing to a plan, or using the Service in any way, you agree to be bound by these Terms.
By registering for an Account or using the Service, you acknowledge that you have read, understood, and agree to these Terms and any policies referenced herein, including our Privacy Policy.
We reserve the right to modify these Terms at any time. By posting updated Terms on our website, we notify you of the change. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance.
You must be at least 18 years of age and capable of entering into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
Omniroo provides: Real-time synchronization of Stripe subscriptions, customers, and invoices to HubSpot pipelines, contacts, and invoice objects.
6.1 Accuracy. You agree to provide accurate, current, and complete information when creating your Account and to maintain and promptly update all account information.
6.2 Credentials. You are responsible for safeguarding your login credentials. You agree not to share your password or allow unauthorized access to your Account.
Omniroo provides its Service under subscription plans with associated fees and allowances. By subscribing, you agree to pay all applicable fees and taxes in accordance with our Billing Policy, available on our website. You may upgrade, downgrade, or cancel your subscription at any time, subject to the terms of your Subscription Plan. Usage of the Service is subject to limits and allowances defined in your Subscription Plan; exceeding those limits may result in additional charges as detailed on our pricing page. Omniroo offers technical support to assist you in using the Service. The scope, channels, and response times for support are determined by your Subscription Plan. For details on support levels and contact methods, please refer to our Support Policy and the Subscription Plans on our website.
All patents, trademarks, service marks, trade names, logos, and copyrights (“Omniroo IP”) used or displayed in connection with the Service are owned by Omniroo or its licensors. No rights are granted to you other than as expressly set forth in these Terms.
Each party agrees to maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential.
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and disclose information.
13.1 Term. These Terms remain in effect as long as you have an active Account.
13.2 Termination by You. You may cancel your subscription at any time via your account settings. Free plans may be deleted at any time.
13.3 Termination by Omniroo. We may suspend or terminate your Account for breach of these Terms or if you violate any policy.
Upon termination, your right to access the Service immediately ends. You remain responsible for payment of all fees accrued prior to termination.
15.1 Disclaimer. The Service is provided “as is” and “as available” without warranties of any kind.
15.2 Limitation of Liability. To the maximum extent permitted by law, Omniroo’s aggregate liability shall not exceed the total fees paid by you in the three months preceding the claim.
You agree to indemnify, defend, and hold harmless Omniroo and its affiliates from any claims arising out of your use of the Service, your violation of these Terms, or your infringement of any rights.
These Terms are governed by the laws of New South Wales, Australia. Any dispute arising under these Terms shall be resolved in the courts located in Sydney, Australia.
